"DFS" is the Distributed File System which is part of DCE. It was based
on AFS code, and was written by Transarc. It uses Kerberos V5 as part
of the DCE, has separate keys for each file server and could have ACLs on
every file. The AFS kaserver and ptserver where replaced with the DCE
security server which used Kerberos V5. It could even support partial
file locking It is rooted in /.../cellname on each machine rather then
in /afs/cellname. You could also export local file systems in to the DFS
space, sort of like doing an NFS mount into AFS!
There was even an AFS to DFS translator to help in a migration effort.
An Transarc AFS cache manager could access the translator. In this case the AFS
token actually contained a K5 ticket, rather then a K4 ticket.

But DCE is so complicated, that for many sites the extra benefits
where not worth a conversion from AFS to DFS.

The W2K "dfs" is completely different except for the name!
